Terms of Service

These Terms of Service ('Terms') govern access to and use of the SwasthyaGrid platform ('Platform') provided by SwasthyaGrid ('we', 'us', 'Company'), a company incorporated in India with its registered office in Lucknow, Uttar Pradesh.

By accessing or using the Platform, the organisation or individual ('Customer') agrees to be bound by these Terms. If you are accessing the Platform on behalf of an organisation, you represent that you have authority to bind that organisation.

SwasthyaGrid provides a software platform for conducting, recording, and managing quality assessments of public health facilities against NHSRC national quality frameworks.

The Platform is provided as a software-as-a-service. We reserve the right to update, modify, or discontinue features with reasonable notice to Customers.

The Platform may be used solely for the purpose of conducting quality assessments of health facilities in accordance with applicable NHSRC frameworks and for related quality management activities.

Customers may not: (a) resell or sublicense access to the Platform; (b) reverse-engineer or attempt to extract the source code; (c) use the Platform to store or process patient health records; (d) use the Platform for any unlawful purpose.

Each user must have an individual account. Sharing of login credentials is not permitted.

The Customer is responsible for maintaining the confidentiality of account credentials and for all activity that occurs under their accounts.

We may suspend or terminate access if we have reason to believe that credentials have been compromised or that the Platform is being used in violation of these Terms.

The Customer retains ownership of all assessment data entered into the Platform.

We process Customer data solely to provide the Platform in accordance with our Privacy Policy.

Customers may export their complete data set at any time in CSV or PDF format. There is no fee for data export.

On termination of the contract, Customer data will be deleted within 30 days of a written request.

We aim to maintain Platform availability of 99% measured monthly, excluding scheduled maintenance windows communicated in advance.

We are not liable for unavailability caused by factors outside our reasonable control, including internet service disruptions, force majeure events, or actions of third-party infrastructure providers.

The Platform, including its software, design, and content (excluding Customer data), is the intellectual property of SwasthyaGrid. Nothing in these Terms transfers any intellectual property rights to the Customer.

The NHSRC quality frameworks digitized in the Platform are the intellectual property of the National Health Systems Resource Centre, Government of India. SwasthyaGrid does not claim ownership of those frameworks.

To the maximum extent permitted by applicable law, SwasthyaGrid's total liability to the Customer for any claim arising out of or in connection with these Terms or the Platform shall not exceed the fees paid by the Customer in the three months preceding the claim.

We are not liable for indirect, consequential, or incidental loss, loss of data, or loss of revenue.

These Terms are governed by the laws of India. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Lucknow, Uttar Pradesh.

We may update these Terms from time to time. Material changes will be communicated to registered users by email at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
